These Terms and Conditions ("Terms") govern all orders, subscriptions, and use of the Workfuzz website (workfuzz.com, the "Site") and the creative production services offered on it (collectively, the "Services"), provided by Workfuzz ("Workfuzz," "we," "us," or "our"). By placing an order, starting a retainer subscription, or otherwise using the Site, you ("Client," "you," or "your") agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Services and Plans

Workfuzz offers two types of engagements:

Project plans are one-off orders for a fixed quantity of deliverables (e.g., a batch of statics, UGC videos, performance ads, or a brand film), invoiced per the payment terms in Section 4.

Retainer plans are recurring monthly subscriptions for a set volume of deliverables per month (adjustable within the published range for that plan), billed automatically each month until cancelled per Section 6.

The specifications, minimum order quantities, delivery timelines, and revision allowances for each plan are as described on the pricing page at the time of order, and are incorporated into these Terms by reference.

2. Pricing, Add-Ons, and Usage Rights

2.1 All prices are listed in USD and are exclusive of applicable taxes, which are calculated and added at checkout.

2.2 Usage rights. A usage-rights license fee of 10% of the base order value applies to every order, whether a one-off project or a recurring retainer. This fee is always included in the total shown at checkout and covers your right to use the delivered creative as described in Section 3 (Ownership and License). Usage rights are not optional and cannot be waived or deducted from any order.

2.3 Resolution. Deliverables are produced at 1080p by default. Upgrading to 2K adds 10% to the base order value; upgrading to 4K adds 20%. These uplifts apply to any plan category, project or retainer.

2.4 Rush delivery. Selecting rush delivery adds 30% to the base order value and reduces the standard delivery window to 2 business days from brief/batch approval, subject to Section 5.

2.5 Ratio adaptation. Adapting a delivered asset to an additional aspect ratio or platform placement is billed at $30 per ad.

2.6 Retainer volume pricing. Retainer plans bill at the flat per-unit rate published for that plan across the entire advertised quantity range (for example, the UGC retainer bills a flat $160 per video from 10 through 90 videos per month, with no reduced rate at higher volumes). Rates are subject to change for future billing cycles with notice as described in Section 6.4.

2.7 All add-ons (resolution, rush, usage rights, ratio adaptation) are charged as part of the same order and reflected in the total shown before you complete checkout.

3. Ownership and License

3.1 Workfuzz retains authorship of raw production files, scripts, footage, and working files unless otherwise agreed in writing.

3.2 Upon full payment for an order, and provided the applicable usage-rights fee under Section 2.2 has been paid, Workfuzz grants the Client a worldwide, non-exclusive, perpetual license to use, reproduce, edit, and distribute the final delivered creative assets for the Client's own advertising, marketing, and organic social media purposes.

3.3 The license granted under 3.2 does not include resale, sublicensing, or redistribution of the raw or final assets to third parties as standalone products, nor use of the assets to train machine learning or generative AI models, unless separately agreed in writing.

3.4 Workfuzz may display completed work (with identifying brand elements removed or with the Client's consent) in its own portfolio, case studies, and marketing materials, unless the Client requests otherwise in writing before or at the time of order.

4. Payment Terms

4.1 Project plans are invoiced 50% upfront upon order confirmation and 50% upon delivery of the completed work, unless otherwise stated on the specific plan.

4.2 Retainer plans are billed automatically and in full at the start of each monthly billing cycle via the payment method on file. By subscribing to a retainer, you authorize Workfuzz (via our payment processor) to charge that payment method on a recurring basis until the subscription is cancelled.

4.3 Failed or declined recurring charges may result in a pause of production and delivery until payment is resolved. Repeated payment failures may result in automatic cancellation of the subscription.

4.4 All payments are processed securely through Shopify's payment infrastructure. Workfuzz does not store your full payment card details.

5. Delivery, Revisions, and Approvals

5.1 Delivery timelines begin from the date a brief (project plans) or a weekly batch (retainer plans) is approved by the Client, not from the date of order or payment.

5.2 Retainer deliverables are produced and delivered in weekly batches spread across the four-week billing period, unless the plan states otherwise.

5.3 Each plan includes a specific number of free revisions per deliverable, as stated on the pricing page for that plan at the time of order. Revisions beyond the included allowance are billed at the per-revision rate stated for that plan.

5.4 Revision requests must be submitted within a reasonable time of delivery and must relate to the original brief; requests that materially change scope may be treated as a new order or billed as additional work.

5.5 Failure to respond to a delivered draft or batch within a reasonable period may be treated as approval for the purposes of calculating delivery timelines and revision windows.

6. Subscription Renewal, Modification, and Cancellation

6.1 Retainer subscriptions renew automatically each month and continue indefinitely until cancelled by the Client or terminated by Workfuzz under Section 9.

6.2 You may cancel a retainer subscription at any time by signing in to your account and using the account management tools provided, or by contacting sales@workfuzz.com. Cancellation takes effect at the end of the current paid billing cycle; no partial-month refunds are issued for the cycle in progress.

6.3 You may increase or decrease the monthly quantity on a retainer plan, within the published range for that plan, before the next billing cycle begins; changes apply from the next cycle onward unless otherwise agreed.

6.4 Workfuzz may change retainer pricing or plan terms for future billing cycles by providing reasonable notice (by email or on the Site). Continuing a subscription after such notice constitutes acceptance of the updated pricing or terms; you may cancel under Section 6.2 if you do not agree.

7. Refunds

7.1 Because Workfuzz allocates production time and resources upon order confirmation, upfront/deposit payments on project plans and monthly charges on retainer plans are generally non-refundable once production has begun.

7.2 If Workfuzz fails to deliver a plan's committed scope within a materially unreasonable time and has not remedied the delay after being notified, the Client may request a pro-rated refund for the undelivered portion of that order or billing cycle, at Workfuzz's discretion.

7.3 Refunds, where granted, are issued to the original payment method and may take up to 10 business days to appear, depending on your bank or card issuer.

8. Client Responsibilities

8.1 The Client is responsible for providing accurate briefs, brand assets, product information, and timely feedback needed to produce the deliverables.

8.2 The Client warrants that any product, brand, script, or reference material it supplies does not infringe the intellectual property rights of any third party, and agrees to indemnify Workfuzz against claims arising from materials the Client supplied.

8.3 The Client is responsible for ensuring its use of delivered creative complies with the advertising policies of any platform (e.g., Meta, TikTok, Google) on which it is published.

9. Termination

9.1 Workfuzz may suspend or terminate a project or retainer subscription, with notice where practicable, in cases of non-payment, abusive conduct, fraudulent activity, or a material breach of these Terms that is not cured within a reasonable period after notice.

9.2 Sections 3 (Ownership and License, to the extent payment has been made), 7 (Refunds), 10 (Limitation of Liability), and 12 (Governing Law) survive termination of these Terms or any order.

10. Limitation of Liability

10.1 To the maximum extent permitted by law, Workfuzz's total liability arising out of or relating to any order or subscription is limited to the amount paid by the Client for that specific order or the three most recent months of a retainer subscription, whichever applies.

10.2 Workfuzz is not liable for indirect, incidental, consequential, or special damages, including lost profits or lost advertising spend, arising from the use of, or inability to use, the deliverables or the Site.

10.3 Nothing in these Terms limits liability that cannot be limited under applicable law.

11. Communications and Support

11.1 Order confirmations, delivery notices, billing receipts, and account notices are sent to the email address associated with your account or order.

11.2 General inquiries, custom scoping requests, and support requests can be directed to sales@workfuzz.com or via the "Book a call" option on the Site.

12. Governing Law and Disputes

12.1 These Terms are governed by the laws applicable in Workfuzz's place of business, without regard to conflict-of-law principles, except where mandatory local consumer-protection law provides otherwise.

12.2 Workfuzz will make reasonable efforts to resolve disputes informally before either party pursues formal proceedings.

13. Changes to These Terms

13.1 Workfuzz may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent revision. Material changes will be highlighted on the Site or communicated by email where practicable.

13.2 Continued use of the Site or continuation of an active subscription after changes take effect constitutes acceptance of the revised Terms.
